Flat Rock Core Income Fund is a continuously offered, diversified, closed-end management investment company registered under the 1940 Act and structured as an interval fund. Organized as a Delaware statutory trust, the Fund commenced operations on November 20, 2020, by acquiring all assets and liabilities of Flat Rock Capital Corp. Its investment objective is the preservation of capital while generating current income and maximizing total return. The Fund primarily invests in senior secured loans of U.S. middle-market companies with EBITDA between $5 million and $75 million, and may also invest in below investment grade loans, junior debt tranches of CLOs, BDCs, and loan facilities, as well as opportunistic equity tranches of CLOs or equity securities received through restructurings. Shares are not exchange-listed and offer limited liquidity through quarterly repurchase offers of at least 5% of outstanding shares at net asset value. The Fund may use leverage within 1940 Act limits to enhance returns and manage cash flows.
