The Fund is a Delaware statutory trust registered under the Investment Company Act of 1940 as a non-diversified, closed-end management investment company whose investment objective is to seek to generate long-term capital appreciation. The Fund seeks to achieve its investment objective by investing, under normal circumstances, at least 80% of its net assets in "Innovation Companies" and expects to focus on investing in equity securities of Innovation Companies, including common and preferred stock and other securities having equity-like characteristics, while also investing in debt instruments, derivative instruments and currency-related instruments and allocating between Public Assets and Private Assets. Shares are generally offered on the first business day of each month at the NAV per Share on that day, and the Adviser intends to recommend that, in normal market conditions, the Fund's Board conduct quarterly repurchase offers of no more than 5% of the Fund's net assets. Coatue Management, L.L.C. serves as the Fund's investment adviser.
