The Fund is a Delaware statutory trust that is registered as a non-diversified, closed-end management investment company under the Investment Company Act of 1940, as amended (the “1940 Act”). The Fund intends to operate as an “interval fund” (as described in further detail below under “Repurchases of Shares”). The Fund has received an exemptive order from the U.S. Securities and Exchange Commission (the "SEC") that permits the Fund to offer multiple classes of its shares of beneficial interest (the "Shares") and to, among other things, impose asset-based distribution fees and early-withdrawal fees. The Fund offers three separate classes of Shares designated as Class I-F, Class S-F and Class U-F Shares, and the Fund may offer additional classes of Shares in the future. Each class of Shares is subject to different fees and expenses (as described in further detail below under "Share Classes; Minimum Investments").
