T. Rowe Price OHA Select Private Credit Fund is a closed-end investment company offering up to $2.5 billion in Class S, Class D, and Class I common shares through a continuous private placement. Advised by Churchill PCIF Advisor LLC, with Churchill Asset Management LLC as Sub-Adviser and Nuveen Asset Management LLC managing liquid assets, the Fund seeks to generate attractive risk-adjusted returns primarily through current income and, secondarily, long-term capital appreciation. It invests in a diversified portfolio of private debt and equity investments in U.S. middle market companies—defined as those with $10 million to $250 million in EBITDA—primarily sponsored by private equity firms. The Fund pays a 0.75% annual management fee and a two-part incentive fee on income and capital gains, subject to performance hurdles and waivers. All investment decisions require unanimous approval by a dedicated investment committee.
