Pender Real Estate Credit Fund (the “Fund”) is a non-diversified, closed-end management investment company organized as a Delaware statutory trust and registered under the Investment Company Act of 1940. The Fund operates as an interval fund pursuant to Rule 23c-3 and has elected to be treated as a real estate investment trust (“REIT”) for U.S. federal income tax purposes. Its investment objective is to generate risk-adjusted current income with an emphasis on capital preservation through real estate-related credit investments secured by U.S. real estate. Under normal circumstances, the Fund invests at least 95% of its net assets in private real estate debt and publicly traded real estate debt securities, with an intended minimum of 90% in first-lien private real estate debt. The Fund may also invest in CMBS, RMBS, CLOs, and other publicly traded real estate-related securities. Liquidity is provided through quarterly repurchase offers at net asset value. The Fund is managed by Pender Capital Management, LLC, with administrative services provided by UMB Fund Services, Inc.
