Apollo Principal Holdings B transferred 23,657 Apollo S3 Private Markets Fund Class I shares for no consideration on July 29, 2026, leaving it with 1.1 million shares. Eligible June 30, 2025 capital contributors received shares through the arrangement.

Apollo S3 Private Markets Fund updated its August 1, 2026 prospectuses, showing post-waiver annual expenses of 4.10% for Class S2 and 3.25% for Class I2 and Class I. Class I is no longer publicly offered.

Apollo S3 Private Markets Fund will conduct an issuer tender offer for up to 753,127 Shares, or about 5% of the 15,062,543 Shares outstanding as of March 31, 2026, at net asset value on the Valuation Date. Accepted Shareholders will receive a non-interest-bearing promissory note and payment based on that Valuation Date value.

Apollo S3 Private Markets Fund filed a Final Amendment reporting the results of its tender offer, in which 111,110.256 Shares were validly tendered and all were accepted for purchase at $31.20 per Share. The Fund paid $3.5 million in total through non-interest bearing, non-transferable promissory notes.
